Terms of Service / End-User License Agreement

MVPocket (“Service”) grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business or personal purposes, subject to these Terms.

• You must be at least 18 and legally able to agree to these Terms.
• If you use the Service on behalf of an entity, you represent you are authorized to bind that entity and “you” includes that entity.
• You are responsible for maintaining the confidentiality of your credentials.

• No unlawful, harmful, infringing, or abusive activity.
• No attempts to bypass security, rate limits, or platform restrictions.
• No uploading of malicious code or data you don’t have rights to process.
• You will comply with applicable laws, app-store policies, and third-party terms (e.g., GitHub, Vercel, Supabase, Expo/EAS, Stripe).

• The Service uses credits (“tickets”) as units of usage. Tickets are not currency and are non-transferable.
• Plan tickets renew monthly and do not roll over. One-time top-up tickets never expire.
• All fees are final, non-refundable, and non-creditable to the fullest extent permitted by law.
• Subscriptions auto-renew until canceled. You can manage/cancel in the billing portal.

• You own your inputs, repositories, and outputs (including AI-assisted code) as between you and MVPocket.
• You grant MVPocket a license to host, process, analyze, and modify your inputs and outputs as needed to provide the Service (e.g., planning, reviewing, committing code).
• We own the platform, agents, models, prompts, and brand.

• The Service uses automated agents and third-party AI models. Outputs may contain errors, outdated patterns, or security issues. You are responsible for review and testing.
• The Service may suggest or modify dependencies, build tools, or code structure. You are responsible for vetting licenses, compatibility, and implications for your project.
• We do not provide legal, security, or compliance advice. Outputs are provided “as is.”
• No Guarantees: We do not guarantee accuracy, completeness, reliability, security, fitness for any purpose, or that any output will achieve any particular result or outcome. You assume all risk for use of the Service and outputs.

• You are responsible for securing your repositories, secrets, and environments (e.g., GitHub permissions, API keys, env vars).
• Maintain backups and version control. We are not responsible for data loss or repository misconfiguration.

The Service integrates with third-party platforms (e.g., GitHub, Vercel, Supabase, Expo/EAS, Stripe). Their terms govern your use of those services. We are not responsible for third-party outages, changes, data handling, or policies.

• Do not submit infringing content. You represent you have the rights to all code and data you connect.

Our processing of personal data is described in our Privacy Policy. By using the Service, you consent to such processing. Do not upload sensitive personal data unless necessary and lawful.

We may release beta/experimental features that may be unstable, change, or be withdrawn. We may modify or discontinue features at any time. No guarantees are made regarding availability, performance, or results.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MVPocket DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, NO GUARANTEES WHATSOEVER ARE MADE THAT THE SERVICE OR ANY OUTPUTS WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY PARTICULAR RESULTS OR OUTCOMES, OR BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MVPocket AND ITS AFFILIATES SHALL HAVE NO LIABILITY OF ANY KIND FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You will defend, indemnify, and hold harmless MVPocket and its affiliates from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

• These Terms are governed by the laws of the State of Michigan, USA.
• Venue for any action not subject to arbitration will be exclusively in state or federal courts located in Michigan, and you consent to jurisdiction there.

You will not use the Service in violation of U.S. export control or sanctions laws and are responsible for compliance with such laws.

We may suspend or terminate access for any violation of these Terms, suspected fraud, non-payment, security risk, or to protect the Service or others. You may stop using the Service at any time.

We may update these Terms from time to time. Material changes will be posted in-app. Your continued use after changes become effective constitutes acceptance.

• Severability: If any provision is unenforceable, the remainder remains in effect.
• Assignment: You may not assign these Terms without our consent.
• Entire Agreement: These Terms are the entire agreement between you and MVPocket.
• Survival: Sections relating to fees, IP, disclaimers, limitations, indemnities, and governing law survive termination.
